1. Purpose
The purpose of this Contract is to set forth the terms and conditions under which the Affiliate will promote the Company’s online photography courses and receive commission payments based on referral sales.
2. Affiliate Responsibilities
2.1 The Affiliate agrees to use best efforts to promote and market the Company’s online photography courses.
2.2 The Affiliate will not engage in any deceptive, misleading, or unethical practices that may be detrimental to the Company or its products.
2.3 The Affiliate will comply with all applicable laws and regulations in connection with their promotional activities.
2.4 The Affiliate is strictly prohibited from running Google Ads, Facebook Ads, or any other paid advertising campaigns to promote the Company’s online photography courses.
3. Commission Structure
3.1 The Company agrees to pay the Affiliate commission of INR 500 per referral sale.
3.2 Commission payments will be made on a monthly basis, within 15 days after the end of each calendar month.
4. Term and Termination
4.1 This Contract will commence on the date it is signed by both parties and will continue until terminated by either party.
4.2 The Affiliate link provided should be the only link you will use for promoting the courses as it has the tracking code. If you use any other link, tracking of sales will not be possible.
4.2 Either party may terminate this Contract at any time, with or without cause, by providing 10 days’ written notice to the other party.
4.3 Upon termination, the Affiliate will cease all promotional activities and return any confidential information belonging to the Company.
5. Confidentiality
5.1 The Affiliate agrees to keep confidential any and all information provided by the Company that is not publicly available.
5.2 This obligation will survive the termination of this Contract.
6. Indemnification
The Affiliate agrees to indemnify and hold the Company harmless from any claims, damages, or expenses arising out of the Affiliate’s breach of this Contract or their promotional activities.
7. Governing Law
This Contract will be governed by and construed in accordance with the laws of Bangalore, Karnataka jurisdiction.
8. Miscellaneous
8.1 This Contract constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral.
8.2 Any amendments to this Contract must be in writing and agreed by both parties.
